Terms & Conditions

1. Scope

   1.1 These Terms and Conditions apply to all contracts, deliveries and services provided by Cormoran Biotech GmbH, Bücklestraße 3, 78467 Konstanz, Germany (“Cormoran Biotech”) to business customers (entrepreneurs) within the meaning of Section 14 German Civil Code (BGB) (“Customer”).


1.2 Cormoran Biotech does not sell to consumers (Section 13 BGB).

 

1.3 These Terms apply in particular to orders placed via the webshop, by e-mail, or via contact forms and other written communication.

 

1.4 Any conflicting or deviating terms of the Customer shall not apply unless explicitly accepted in writing by Cormoran Biotech.

3. Subject of Contract

   3.1 Cormoran Biotech supplies research reagents and consumables (Research Use Only, RUO), provides custom oligonucleotides, primers, assay design, and related products, as well as contract research and laboratory services.

 

3.2 Unless explicitly stated otherwise, products are intended for research use only and are not intended for diagnostic, therapeutic or clinical applications.

 

3.3 Protocols, datasheets, SDS and other documents are provided to the best of our knowledge, without warranty as to completeness or continuous updates.

 

4. Offers and Conclusion of Contract

   4.1 Product presentations on the website or in the webshop do not constitute a binding offer but an invitation to place an order.

 

4.2 By placing an order via the webshop or by e-mail, the Customer submits a binding offer.

 

4.3 A contract is concluded only upon written order confirmation by Cormoran Biotech (e.g. by e-mail) or upon shipment of the goods.

 

4.4 Cormoran Biotech reserves the right to reject orders, in particular due to doubts about payment ability or due to export/sanction restrictions.

 

5. Prices and Shipping Costs

   5.1 All prices are stated net in EUR plus applicable VAT.

 

5.2 Shipping costs are charged in addition to product prices.

 

5.3 Packaging and cooling materials (e.g. wet ice shipments) are usually included in shipping costs unless stated otherwise.

 

5.4 Invoicing in other currencies is possible only upon prior agreement.

 

6. Payment Terms

   6.1 Unless otherwise agreed, invoices are due within 30 days from invoice date without deduction.

 

6.2 For first-time customers outside the European Union, prepayment may be required.

 

6.3 Payment methods may include bank transfer, SEPA, credit card, and PayPal, depending on the country and Customer profile.

 

6.4 In case of late payment, statutory default interest applies. Cormoran Biotech may issue reminders and charge reminder fees and may suspend further deliveries until full payment is received.

 

7. Delivery and Delivery Times

   7.1 Deliveries are generally made ex works (EXW, Incoterms 2020) unless otherwise agreed in writing. In some cases FCA or other Incoterms may apply.

 

7.2 The carrier (e.g. DHL, UPS, FedEx) is selected by Cormoran Biotech unless otherwise agreed.

 

7.3 Delivery times are estimates unless explicitly confirmed as binding.

 

7.4 Delays caused by customs clearance, export controls, carriers, force majeure or other unforeseen circumstances do not entitle the Customer to withdraw from the contract or claim damages unless caused by intent or gross negligence.

 

7.5 Partial deliveries are permitted if reasonable.

 

8. Transfer of Risk

   Risk passes to the Customer upon handover of the goods to the carrier or upon leaving the warehouse (EXW), including partial deliveries.

 

9. Retention of Title

   Goods remain the property of Cormoran Biotech until full payment of all claims arising from the business relationship.

 

10. Inspection and Notice of Defects

    The Customer must inspect the goods immediately upon receipt and must report obvious defects, wrong deliveries or transport damage in writing within 48 hours.

 

11. Warranty

    Cormoran Biotech warrants that goods substantially comply with the agreed specifications at the time of transfer of risk.

 

Unless explicitly confirmed as binding, specifications and performance values are typical values.

 

In case of justified defects, Cormoran Biotech may provide replacement or correction at its discretion.

 

12. Returns, Cancellations and Claims

    Returns are generally not accepted, especially for temperature-sensitive or biological products.

 

In case of wrong delivery or verified transport damage, Cormoran Biotech will usually replace the goods or issue a credit note.

 

The Customer shall destroy incorrect or defective goods upon request, unless return shipment is explicitly requested. Returns require prior written approval.

 

Custom-made products (primers, oligos, custom assays) are non-cancellable and non-returnable unless otherwise stated in the order confirmation.

 

13. Over- and Under-Delivery

    For certain products, deviations in fill volume/quantity may occur. Deviations of up to +/- 10% are considered compliant.

 

14. Research Use, Compliance and Export Control

    Products are intended for research use only unless otherwise stated.

 

The Customer shall not use products for diagnostic, therapeutic or clinical applications unless explicitly permitted.

 

The Customer must comply with all applicable legal requirements including chemical safety, environmental regulations, biosafety, genetic engineering laws and export control regulations.

 

The Customer is responsible for all required permits and approvals for import, use and distribution.

 

15. Services and Contract Research

    The scope of services is defined in the respective quotation or order confirmation.

 

Scientific work may involve uncertainties and no specific result is owed unless explicitly agreed.

 

16. Intellectual Property

    All rights to protocols, methods, designs, assay concepts, documentation and datasheets remain with Cormoran Biotech unless explicitly agreed otherwise.

 

The Customer receives a limited, non-transferable right to use the products and documentation for internal research purposes only.

 

17. Liability

    Cormoran Biotech is fully liable for intent, gross negligence and injury to life, body or health.

 

For slight negligence, liability is limited to breach of essential contractual obligations and limited to foreseeable damages.

 

Liability for indirect damages, consequential damages, lost profits, downtime, loss of samples or loss of research results is excluded to the extent permitted by law.

 

Liability is limited to the net order value of the respective delivery.

 

18. Force Majeure

    Cormoran Biotech is not liable for delays caused by force majeure events such as natural disasters, pandemics, strikes, supply shortages, governmental actions, export restrictions, war, terrorism or transport disruptions.

 

19. Data Protection

    Personal data processing is governed by the Privacy Policy published on the website.

 

20. Changes to Documents and Online Content

    Cormoran Biotech may update product information, protocols, technical documentation, SDS and other content at any time. The documents valid at the time of ordering or delivery apply.

 

21. Final Provisions

    German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

 

Place of jurisdiction is Konstanz, Germany, provided the Customer is a merchant.

 

The contract language is German. In case of an English translation, the German version prevails.

 

If any provision is invalid, the remaining provisions remain effective.
